Terms & Conditions
English is the master legal text. Translations are provided for accessibility and must preserve the meaning of the English version. Nothing in a translation limits mandatory rights available under applicable local law.
Last updated: 28 September 2026
enquiry@neverexpiry.comThese Terms & Conditions apply when you access or use NeverExpiry, including our website, private document vault, expiry and renewal reminders, document catalogue, profiles, subscriptions and related services. These Terms should be read together with our Privacy Policy, Cookie Policy, Security, GDPR / Data Protection, Refund & Cancellation Policy and Acceptable Use Policy.
1. About These Terms
These Terms form a legal agreement between you and Auradenta Ltd, trading as NeverExpiry, when you access or use NeverExpiry. By creating an account, uploading or storing a document, setting a reminder, purchasing a subscription or otherwise using NeverExpiry, you agree to these Terms. If you use NeverExpiry for a company, practice, clinic, organisation, employer, landlord, professional service, charity, partnership or other business or organisation, you confirm that you are authorised to accept these Terms on its behalf. Where a separate written agreement or Data Processing Agreement applies, that agreement will also apply and will take priority where it specifically conflicts with these Terms.
2. Who Can Use NeverExpiry
You must have legal capacity to enter into a contract to purchase a NeverExpiry subscription. A parent, guardian or other authorised person may use NeverExpiry to manage documents relating to a child or dependant where legally entitled to do so. If you store information relating to another person, including a family member, employee, contractor, customer, client, patient, tenant, member or other third party, you are responsible for ensuring that you have the appropriate authority, permission, consent or other lawful basis required for your use. You are responsible for ensuring that your use of NeverExpiry is lawful in the country or territory where you use it.
3. What NeverExpiry Provides
NeverExpiry helps individuals, households, professionals, businesses and organisations organise important documents and track dates associated with them. Features may include: • private document storage; • expiry-date tracking; • renewal-date tracking; • review, inspection or service dates; • reminders and notifications; • document profiles; • family or household profiles; • staff, business or organisational profiles where offered; • country-specific document catalogues; • compliance-document catalogues; • OCR and automated date detection; • AI-assisted document processing where offered; • document search; • custom document types; • expiry calendars; and • related document-management features. Features may differ according to your plan, country, device or availability.
4. NeverExpiry Is a Reminder and Organisation Service
NeverExpiry does not renew documents, licences, registrations, insurance policies, permits, certificates or other compliance requirements for you unless a particular feature expressly states otherwise. NeverExpiry does not submit regulatory filings, applications or renewals to government authorities, regulators, insurers, professional bodies or other organisations on your behalf unless expressly agreed as a separate service. You remain responsible for: • checking the correct expiry or renewal date; • completing renewals on time; • making required payments; • satisfying regulatory requirements; • maintaining valid licences, registrations and insurance; • submitting documents to the correct authority; • complying with notice periods; • checking whether laws or requirements have changed; and • independently monitoring important deadlines. A NeverExpiry reminder is an assistance tool and does not transfer responsibility for a deadline to NeverExpiry or Auradenta Ltd.
5. Do Not Rely Solely on Reminders
We aim to send reminders according to the settings shown in your account, but electronic notifications cannot be guaranteed. A reminder may be delayed, blocked or not delivered because of incorrect contact information, spam filters, notification settings, device settings, internet or network failures, third-party delivery systems, service interruptions, time-zone differences or circumstances outside our reasonable control. You should not rely on a NeverExpiry notification as your only method of managing an important legal, regulatory, immigration, professional, employment, insurance, financial, contractual, safety, inspection, service or compliance deadline. You should periodically review your NeverExpiry dashboard and your original documents.
6. Catalogue and Compliance Information
NeverExpiry may provide document lists, compliance categories, professional requirements and country-specific or region-specific terminology to help users organise their records. Requirements can differ according to country, state, province, region, profession, regulator, industry, business type and individual circumstances. Laws, regulations and professional requirements can change. NeverExpiry does not guarantee that the catalogue contains every document, licence, certificate, registration, inspection, service requirement, filing, review or other compliance requirement applicable to you. The absence of a document or requirement from NeverExpiry does not mean that it is not legally, professionally or contractually required. Where compliance is important, you should independently verify requirements with the relevant regulator, government authority, professional body, insurer, contracting party or qualified adviser.
7. No Professional Advice
NeverExpiry does not provide legal, regulatory, immigration, medical, dental, financial, accounting, insurance, tax, employment, health and safety or other professional advice. Information about document types, expiry dates, compliance requirements, renewal cycles, inspections, servicing or review periods is designed to help organise information and does not determine your legal, regulatory, professional or contractual obligations.
8. Your Account
You must provide accurate information and keep your account details current. You are responsible for protecting your login credentials and for activity carried out through your account where that activity results from your failure to protect those credentials. Notify us promptly if you believe someone has gained unauthorised access to your account. You must not share credentials in a way that defeats account, profile, user or subscription restrictions.
9. Documents You Store
You remain the owner of documents and original information you upload to NeverExpiry, subject to any rights belonging to third parties. Uploading a document does not transfer ownership of that document to us. You confirm that you have the necessary rights, authority or lawful basis to upload, store and process the information you provide. You must not use NeverExpiry to store unlawful content, malicious files or information that you are prohibited from possessing, accessing, disclosing or processing.
10. Keep Your Own Copies
NeverExpiry should not be your only copy of an important document. You should retain the original or another secure backup of passports, licences, certificates, insurance records, contracts, compliance documents, statutory records and other important information. NeverExpiry is not intended to replace your own legally required record-keeping or backup obligations.
11. Storage Availability and Data Loss
We use measures designed to provide reliable private document storage, but no online storage service can guarantee that data will never become unavailable, corrupted or lost. To the maximum extent permitted by law, NeverExpiry is not responsible for loss that could reasonably have been avoided by keeping an original or separate backup where the loss results from circumstances outside our reasonable control. Nothing in this section excludes responsibility that cannot legally be excluded.
12. OCR, Automatic Date Detection and AI
NeverExpiry may use OCR, automated processing or artificial intelligence to identify information such as document type, expiry date, renewal date, certificate date, issue date, inspection date, service date or other document information. Automated extraction can be incorrect, particularly where documents are handwritten, damaged, blurred, poorly photographed, unusually formatted, multilingual or difficult to interpret. You must check and confirm detected information before relying on it. An automatically detected or AI-generated date, description, classification or interpretation does not override the original document or information supplied by the relevant authority, regulator, professional body, insurer, employer, contracting party or issuer.
13. Custom Document Types
Eligible subscribed users may create a custom document type if it is not available in the catalogue. Your uploaded document, personal information, dates, OCR content and private notes remain private to your account subject to our Privacy Policy. Only generic document-type information such as document name, category, subcategory, country and non-personal aliases may be separately used to improve the shared catalogue. We may correct spelling, standardise names, detect duplicates, merge aliases, categorise, translate, approve or reject generic document-type submissions. Private document contents will not be intentionally published in the shared catalogue.
14. Profiles and Third-Party Documents
Where NeverExpiry supports family, household, employee, contractor, customer, client, patient, tenant, member or other profiles, the account holder is responsible for ensuring that they have authority to manage the relevant documents and information. You must not use NeverExpiry to obtain, store, disclose or manage another person's information unlawfully.
15. Business and Professional Users — All Industries
This section applies to business, professional and organisational users across all industries and sectors. It is not limited to healthcare, dental, medical or regulated professions. Businesses and organisations remain responsible for their own legal, regulatory, professional, contractual, employment, licensing, safety, inspection, insurance and compliance obligations. NeverExpiry does not become your: • compliance officer; • data protection officer; • practice manager; • business manager; • regulator; • auditor; • professional adviser; • legal adviser; • statutory record keeper; or • person responsible for satisfying your regulatory or contractual obligations merely because you use the service.
16. Customer / Service Hirer Responsibility and Independent Verification
If you use or hire NeverExpiry for a business, organisation, profession, employer, practice, clinic, landlord, property business, service provider or other activity, you remain responsible for independently checking the accuracy, completeness, currency and suitability of information before relying on it, acting on it or providing it to another person. This includes, without limitation: • document status; • compliance information; • expiry dates; • renewal dates; • review dates; • inspection dates; • service dates; • reminders; • OCR results; • AI-assisted results; • automatically detected information; • catalogue information; • translated information; and • reports, records or summaries generated, displayed or organised through NeverExpiry. The fact that you used NeverExpiry, or told a third party that you used NeverExpiry, does not transfer your responsibility to NeverExpiry or Auradenta Ltd. You remain responsible for checking information before you rely on it or pass it to a third party.
17. No Certification, Approval or Transfer of Responsibility
Unless NeverExpiry has expressly agreed otherwise in writing, you must not state, suggest or imply that NeverExpiry or Auradenta Ltd has independently: • verified your documents; • certified your compliance; • approved your regulatory status; • confirmed that all required records are present; • guaranteed the accuracy of your information; • audited your organisation; • approved your professional or business practices; or • accepted responsibility for your legal, regulatory, professional, contractual or compliance obligations. Using NeverExpiry does not transfer those obligations to us. If you choose to provide information, reports, reminders, records or other material generated or organised through NeverExpiry to a third party, you remain responsible for independently verifying that material before doing so.
18. Third-Party Information and Your Responsibility
If you upload, store, manage, disclose or process information relating to another person, you are responsible for ensuring that your use is lawful and that you have any authority, permission, consent or other legal basis required for your activity. You are also responsible for complying with confidentiality, employment, professional, contractual, regulatory and sector-specific obligations that apply to you. NeverExpiry does not assume responsibility for a customer's unlawful collection, upload, disclosure, sharing, processing or use of third-party information. Nothing in this section makes NeverExpiry responsible for obligations that legally belong to the customer merely because NeverExpiry was used as a software or organisational tool.
19. Business and Organisational Responsibility for Third-Party Claims
To the extent permitted by law, business, professional and organisational users are responsible for third-party claims, complaints, losses, liabilities, damages, costs or expenses arising directly or indirectly from, or in connection with: • information unlawfully uploaded, stored, disclosed or processed by them; • lack of authority to use another person's information; • infringement of another person's rights; • breach of confidentiality by them; • their misrepresentation of NeverExpiry information; • their representation that NeverExpiry certified, verified, approved or audited information when it did not; • their failure to independently verify information before relying on it or passing it to a third party; • their breach of these Terms; or • their unlawful use of NeverExpiry. This section does not apply to the extent that a claim is caused by NeverExpiry's own breach of applicable law, negligence where liability cannot lawfully be excluded or restricted, fraud, fraudulent misrepresentation, or another liability that cannot legally be excluded.
20. Business User Indemnity
This section applies only to business, professional and organisational users and not to consumers acting wholly or mainly outside their trade, business, craft or profession. To the extent permitted by law, you will indemnify Auradenta Ltd against reasonable losses, liabilities, damages, costs and reasonable legal expenses arising from a third-party claim to the extent that the claim is caused by: • your unlawful use of NeverExpiry; • your breach of these Terms; • your lack of authority to upload, store, process or disclose third-party information; • your infringement of another person's rights; • your breach of confidentiality or other duty owed to a third party; • your material misrepresentation of information obtained from or organised through NeverExpiry; or • your false representation that NeverExpiry verified, certified, approved, guaranteed or audited information or compliance. This indemnity does not apply to the extent that the relevant loss is caused by Auradenta Ltd's own breach, negligence where liability cannot lawfully be excluded or restricted, fraud, fraudulent misrepresentation or other non-excludable liability.
21. Free and Paid Features
NeverExpiry may offer free and paid plans. Document limits, profile limits, reminder features, storage and other plan features are shown on the website and may be updated from time to time. Plan limits and features form part of the service description applicable to your selected plan.
22. SMS Notifications, Allowances and Additional Charges
NeverExpiry may provide SMS notifications as part of certain paid subscription plans. Current included monthly SMS allowances are: • Personal: 5 SMS messages per billing month. • Premium / Family: 15 SMS messages per billing month. • Free: no included SMS reminder allowance. Included SMS allowances reset at the beginning of each billing month. Unused SMS messages do not roll over to the following month. Email notifications and reminders do not reduce the user's SMS allowance. Security-related SMS messages used for functions such as account verification, authentication or password recovery are treated separately from the plan's reminder SMS allowance unless clearly stated otherwise. Once a user's included SMS reminder allowance has been used, additional SMS messages may be available on a pay-as-you-go basis at US$0.50 per additional SMS, or the applicable local-currency equivalent displayed by NeverExpiry. Additional SMS charges will only be incurred where the user has enabled, selected or otherwise expressly agreed to pay-as-you-go SMS. NeverExpiry will not intentionally charge additional SMS fees without the user's appropriate agreement. Users can choose to continue receiving email reminders without purchasing additional SMS messages. SMS availability and delivery may depend on the user's mobile network, country, device, telephone number and third-party telecommunications infrastructure. NeverExpiry cannot guarantee that every SMS will be delivered instantly or successfully where delivery is affected by circumstances outside its reasonable control. The applicable SMS allowance and additional SMS price will be displayed within the relevant plan, account or billing information. Any future change to SMS pricing or allowances will apply prospectively and will be communicated where required by applicable law.
23. Subscriptions and Automatic Renewal
Recurring subscriptions renew according to the monthly or annual billing cycle shown at checkout unless cancelled before renewal. The applicable price and billing frequency will be shown before purchase. You may cancel future renewal through the available account or billing controls. Unless otherwise stated, cancellation stops the next renewal and paid access continues until the end of the period already paid for. Nothing in these Terms removes mandatory cancellation rights provided by applicable law.
24. Consumer Cancellation Rights
Consumers may have statutory cancellation rights depending on their country of residence, the type of service supplied and when performance begins. Nothing in these Terms limits any cancellation right, refund right or other consumer remedy that cannot legally be excluded or restricted.
25. Payments
Payments and subscriptions are processed securely through specialist third-party payment providers. NeverExpiry does not store your full payment card number or security code. You agree to provide valid payment information and authorise the payment provider to collect charges applicable to the subscription or service you select. Applicable VAT or other taxes may be charged where required by law.
26. Failed Payments, Expired Cards and Subscription Access
If a payment cannot be processed because a payment card has expired, been declined or cancelled, has insufficient funds, or because payment information is invalid or out of date, paid NeverExpiry features may be suspended or downgraded until payment is successfully completed. You are responsible for keeping your payment method and billing information current. NeverExpiry is not responsible for loss of paid access, missed reminders, unavailable premium features or other consequences caused by a failed or declined payment, expired card, cancelled payment method or cancellation of your subscription, except where the failure is caused by NeverExpiry or where liability cannot legally be excluded. If you cancel your subscription, paid features will normally remain available until the end of the period already paid for, after which the account will revert to the applicable free or non-paid level.
27. Refunds
Refund eligibility is governed by our Refund & Cancellation Policy and mandatory rights under applicable law. Nothing in these Terms limits a refund or remedy that the law requires us to provide.
28. Changes to Prices
We may change subscription pricing. Where a change affects an existing recurring subscription, reasonable advance notice will be provided where required and the revised price will normally apply from a future renewal. Nothing in this section removes any mandatory right to cancel or reject a price change where applicable law provides such a right.
29. Security
We use technical and organisational measures designed to protect account information and stored documents. No internet service or electronic storage system can guarantee absolute security. You are responsible for using a strong password, protecting your account credentials and taking reasonable steps to protect devices through which you access NeverExpiry. Further information is available on our Security page.
30. Privacy and Data Protection
Our Privacy Policy explains how NeverExpiry collects, stores, uses and protects personal information and how privacy rights may be exercised. The private document vault is separate from the public/shared catalogue. These Terms do not replace the Privacy Policy and are not intended to restate privacy-notice information that belongs in that Policy.
31. Multilingual Services
NeverExpiry may provide its interface, catalogue information and legal information in multiple languages. Official document, regulatory and statutory names may remain in their original form where translation could cause confusion or reduce accuracy. English is the master version of these Terms, except where mandatory local law requires otherwise. Translations are provided for accessibility and must preserve the meaning of the English master text.
32. Acceptable Use
You must not: • upload malware or malicious files; • attempt unauthorised access to other accounts, systems or data; • interfere with or overload NeverExpiry systems; • bypass subscription, storage, profile or usage limits; • use NeverExpiry for unlawful, deceptive or fraudulent purposes; • scrape or extract the service without authorisation; • introduce harmful code; • impersonate another person; • use another person's documents or information without lawful authority; • infringe intellectual property, privacy, confidentiality or other rights; • use the service to misrepresent compliance, certification, approval or regulatory status; or • assist another person to do any of the above.
33. Suspension and Termination
We may restrict, suspend or terminate access where reasonably necessary because of material breach, non-payment, fraud, unlawful activity, security threats, abuse of the service, infringement of rights or legal/regulatory requirements. Where appropriate and reasonably practicable, we may give notice and an opportunity to remedy a breach before termination, but immediate action may be taken where needed to protect users, third parties, NeverExpiry or our legal obligations.
34. Closing Your Account
You may close your account using available account controls or by contacting us. Cancellation of a subscription and deletion of an account are separate actions. Account deletion may result in deletion of stored documents and associated information according to our Privacy Policy and retention procedures. Download anything you wish to retain before requesting deletion.
35. Service Availability
We aim to keep NeverExpiry reliable and available, but uninterrupted or error-free availability cannot be guaranteed. The service may occasionally be unavailable because of maintenance, updates, infrastructure failure, provider failure, cybersecurity incidents, internet outages, emergency work or events outside our reasonable control. Where reasonably practicable, planned maintenance will be managed to reduce disruption.
36. Third-Party Services
NeverExpiry uses specialist third-party services where required for hosting, authentication, storage, email delivery, payment processing, OCR, analytics and AI-assisted functionality. We are not responsible for a third-party provider's independent acts or failures where those acts or failures are outside our reasonable control, except to the extent applicable law makes us responsible. Personal data handled by service providers is governed by our Privacy Policy and applicable contractual arrangements.
37. Third-Party Websites, Regulators and External Information
NeverExpiry may refer or link to regulators, government websites, professional bodies, insurers or other third-party sources for convenience. Those third parties control their own websites, rules, requirements and information. A link, reference or catalogue entry does not mean NeverExpiry endorses, guarantees or accepts responsibility for third-party information. You should verify important requirements directly with the relevant authoritative source.
38. Intellectual Property
NeverExpiry software, website, interface, branding, design and original content belong to Auradenta Ltd or its licensors and are protected by applicable intellectual-property laws. You retain ownership of documents and original information you upload, subject to rights belonging to third parties. You may use NeverExpiry only for the purposes permitted by these Terms and your applicable plan.
39. Our Responsibility to Consumers
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or other liability that cannot legally be excluded. Nothing in these Terms removes mandatory rights relating to services supplied to consumers. Any limitation or exclusion in these Terms applies only to the extent permitted by applicable law.
40. Our Responsibility to Business and Professional Users
For business, professional and organisational users, to the maximum extent permitted by law: • we do not guarantee that every compliance requirement applicable to you is included in the catalogue; • we do not guarantee that reminders will always be successfully delivered; • we do not guarantee the accuracy of OCR, AI-assisted extraction, automatic classification, translations or user-entered data; • we are not liable for indirect or consequential loss, loss of profits, revenue, anticipated savings, goodwill, business opportunity or loss caused by business interruption where such liability may lawfully be excluded; and • our total aggregate liability arising out of or in connection with NeverExpiry is limited to the total NeverExpiry fees paid by the relevant customer during the 12 months immediately preceding the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited or excluded.
41. Missed Expiries, Renewals and Compliance Deadlines
You remain responsible for monitoring the validity, renewal, servicing, inspection and review of your documents and obligations. To the maximum extent permitted by law, NeverExpiry is not responsible for loss resulting solely from a user's failure to: • enter the correct date; • verify an automatically detected date; • correct inaccurate information; • maintain current contact information; • maintain working notification settings; • respond to reminders; • renew a document; • carry out an inspection, service, review or filing; • verify an applicable regulatory or contractual requirement; or • independently monitor an important deadline. Nothing in this section excludes liability that cannot legally be excluded.
42. Accuracy of Customer Information
You are responsible for ensuring that information you enter, upload, confirm or communicate through NeverExpiry is sufficiently accurate for your intended use. NeverExpiry may provide tools that allow you to edit dates, document names, reminder settings and other information, but those tools do not transfer responsibility for the underlying accuracy to us. If information relates to another person or organisation and you are responsible for maintaining its accuracy, that responsibility remains with you.
43. No Guarantee of Regulatory Acceptance
Storage of a document in NeverExpiry does not mean that the document is current, valid, legally sufficient, accepted by a regulator or suitable for a particular purpose. NeverExpiry does not guarantee that an authority, regulator, insurer, employer, customer, contracting party or other third party will accept any document, record, reminder, report or information organised through the service.
44. Force Majeure
We are not responsible for delay or failure caused by events outside our reasonable control, including major internet outages, cloud infrastructure failure, natural disasters, war, civil disturbance, government action, widespread telecommunications failure, major cyber incidents affecting third-party infrastructure or other comparable events beyond our reasonable control.
45. Legal and Regulatory Requests
We may preserve or disclose information where legally required by applicable law, court order, lawful regulatory request or other binding legal process. Any handling of personal information in this context is also subject to our Privacy Policy and applicable law.
46. Changes to NeverExpiry
We may introduce, modify or remove features to improve the service, maintain security, comply with law, respond to user needs or manage technology and third-party dependencies. Where a material change significantly affects a paid service, we will provide notice where reasonably required by law or the nature of the change.
47. Changes to These Terms
We may update these Terms to reflect changes in NeverExpiry, technology, pricing, law, regulation or business operations. The latest version will be published with an updated revision date. Where a material change affects existing users, we will provide additional notice where required by applicable law.
48. Transfer of the Service
Auradenta Ltd may transfer its rights and obligations under these Terms as part of a reorganisation, merger, acquisition, sale of business or transfer of NeverExpiry, provided mandatory consumer rights are not reduced. You may not transfer your account or rights under these Terms to another person where doing so would breach account restrictions, law or the rights of another person.
49. No Partnership, Agency or Professional Relationship
Using NeverExpiry does not create a partnership, joint venture, agency, fiduciary relationship, employment relationship, professional-client relationship or regulatory relationship between you and Auradenta Ltd. Nothing in NeverExpiry authorises you to make commitments or representations on behalf of Auradenta Ltd.
50. Third-Party Rights
Except where these Terms expressly state otherwise, a person who is not a party to these Terms has no right to enforce them. This does not affect any right or remedy of a third party that exists independently of these Terms.
51. Severability
If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions continue to apply. Where legally possible, an invalid provision will be interpreted or limited only to the extent necessary to make it enforceable while preserving its intended purpose.
52. No Waiver
A delay or failure to enforce any right under these Terms does not waive that right. A waiver on one occasion does not create a waiver for any later breach or event.
53. Entire Agreement
These Terms, together with our Privacy Policy and other applicable policies, plan terms or written agreements, govern your use of NeverExpiry. They supersede prior statements about the same subject to the extent those prior statements conflict with the applicable written agreement, except where applicable law provides otherwise.
54. Complaints and Contact
For complaints and questions about these Terms, use the contact details or contact form already configured on NeverExpiry. Until a dedicated NeverExpiry email address is created, do not rely on or publish an invented NeverExpiry email address. You may also write to Auradenta Ltd at the registered office stated below.
55. Who Operates NeverExpiry
NeverExpiry is operated by: Auradenta Ltd A private limited company registered in England and Wales Company number: 16656621 Registered office: 71–75 Shelton Street Covent Garden London United Kingdom WC2H 9JQ
56. Governing Law and Courts
These Terms are governed by the laws of England and Wales. If you are a consumer, nothing in this section deprives you of mandatory rights available under the law of your country of residence. Subject to those mandatory protections, disputes relating to these Terms are subject to the jurisdiction of the courts of England and Wales.
57. Subscription Transfer
A NeverExpiry subscription is non-transferable. The subscription is linked to the individual account or organisation that purchased it and may not be sold, transferred, assigned or given to another person or organisation without NeverExpiry's prior written permission. Where a plan permits multiple users, family members or authorised organisational users, access may only be provided within the limits and conditions of that plan. Transferring account credentials to another person does not transfer ownership of the subscription. NeverExpiry may restrict or suspend access where a subscription is being transferred, resold or used outside the permitted terms.
